We provide branding, design, and digital services including but not limited to business naming, brand identity design, business basics, website design, and website development. We serve clients globally from our base in the United Kingdom. All services are subject to separate service agreements and/or statements of work which shall take precedence over these terms in the event of any conflict.

4. Our Materials and Intellectual Property

We are the owner or licensee of the copyright and all other intellectual property rights in and to the Website and in all information, images, designs, graphics, software, text and other content published on it (“our materials”). This excludes any content you submit to the Website (“your content”) and such content submitted to the Website by other users.

9. Payment Terms

Payment for services shall be made in accordance with the payment terms specified in your service agreement, statement of work or invoice. Unless otherwise agreed in writing, a deposit of 50% of the total project fee is required before work commences, with the balance due upon completion.

All prices are quoted in GBP (£) unless otherwise stated and are exclusive of VAT or other applicable taxes. For clients outside the United Kingdom, local taxes may apply in accordance with your jurisdiction.

We reserve the right to charge interest on overdue payments at the rate of 4% above the Bank of England base rate, calculated on a daily basis from the due date until payment is received in full.

10. Limitation of Liability

Nothing in these terms and conditions shall affect your statutory rights, and nothing in these terms and conditions shall limit or exclude our liability for death or personal injury arising through negligence, fraudulent misrepresentation, and/or anything else that cannot be excluded or limited by us under applicable law.

Our materials displayed on the Website are provided without any guarantees, conditions or warranties as to their accuracy. To the fullest extent permissible by law:

  • we shall not be liable for any loss caused as a result of your actions or inactions based on the materials and content available on the Website;
  • we shall not be liable for any loss caused as a result of any actions or inactions of the materials and content submitted by other users;
  • we expressly exclude and disclaim all warranties, terms, conditions and representations that might otherwise be implied by law in relation to the Website, our materials and/or all services supplied by us in connection with the Website.   • our total aggregate liability to you in respect of all losses arising under or in connection with these terms and conditions, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall in no circumstances exceed the greater of: (a) the amount paid by you for the specific service giving rise to the claim; or (b) £1,000.

If any of these terms and conditions are deemed by any court or administrative body of competent jurisdiction to be invalid or unenforceable then such invalidity or unenforceability shall not affect the other provisions of these terms and conditions which shall remain in full force and effect.

11. Indemnity

You agree to indemnify, defend and hold harmless Cene Technologies Ltd, its officers, directors, employees, agents, licensors and suppliers from and against all losses, expenses, damages, claims, demands, liabilities and costs (including reasonable legal fees) arising directly or indirectly from:

  • your breach of these terms and conditions;
  • your unlawful, improper or unauthorised use of the Website or our materials;
  • your content or any material you submit, post or transmit through the Website;
  • your violation of any applicable law, regulation or third-party right;
  • any claim that your content caused damage to a third party.

12. Further Assurances

You agree that you will do any and all acts and things and execute any and all documents that we may reasonably request in order to carry out the intended provisions of these terms and conditions.

13. International Use

We make no representation that the Website or our services are appropriate or available for use in all locations. Those who choose to access the Website from locations outside the United Kingdom do so on their own initiative and are responsible for compliance with local laws, if and to the extent local laws are applicable.

14. International Clients & Dispute Resolution

We welcome clients from around the world. By using our Website or engaging our services from outside the United Kingdom, you acknowledge and agree that:

  • These terms and conditions are governed by English law regardless of your location;
  • You are responsible for compliance with any local laws applicable to your use of our Website or services;
  • Prices displayed are in GBP and you are responsible for any currency conversion costs or fees;
  • Local taxes, duties, or withholding requirements in your jurisdiction are your responsibility.

Dispute Resolution: Before initiating any formal proceedings, both parties agree to attempt to resolve any dispute through good faith negotiation. Either party may initiate this process by sending written notice of the dispute to the other party. The parties shall have 30 days from receipt of such notice to resolve the dispute informally.

If the dispute cannot be resolved through negotiation, and you are located outside of the United Kingdom, the parties may agree to resolve the dispute through binding arbitration administered by a mutually agreed arbitration body, with the arbitration to be conducted in English and held in London, United Kingdom. Notwithstanding the foregoing, either party may seek injunctive relief in any court of competent jurisdiction.

Class Action Waiver: To the fullest extent permitted by applicable law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If this class action waiver is found to be unenforceable, the entirety of this arbitration provision shall be null and void.

15. Governing Law and Jurisdiction

These terms and conditions shall be governed by and construed in accordance with the laws of England and Wales. Each party irrevocably agrees to submit to the exclusive jurisdiction of the Courts of England and Wales over any claim or matter arising under or in connection with these terms and conditions and the Website.

If you are a consumer and resident in another jurisdiction, you may also benefit from any mandatory provisions of the law of your country of residence. Nothing in these terms and conditions affects your rights as a consumer to rely on such mandatory provisions of local law.

AI Assistant Provider

Powers our chat assistant. Chat interactions may be processed to provide responses. Located in the United States.

Payment Processors

To process payments securely. We do not store your full payment card details on our servers.

In addition, we may disclose your personal information to third parties:

  • if we are under a duty to disclose or share your personal data in order to comply with any legal or regulatory obligation or request;
  • to enforce or apply our Terms of Use and other agreements or to investigate potential breaches;

We do not sell your personal information to third parties for marketing purposes.

Where We Store Your Information

All information you provide to us is stored on secure servers. Our primary hosting infrastructure is provided by Vercel, Inc. with servers located in the United States and Europe. Vercel maintains SOC 2 Type II compliance and implements industry-standard security measures.

Where we have given you (or where you have chosen) a password which enables you to access certain parts of our Website, you are responsible for keeping this password confidential. We ask you not to share your password with anyone.

Keeping Your Information Secure

We are committed to ensuring that your information is secure. We have implemented appropriate technical and organisational measures to safeguard and secure your personal data, including:

  • Encryption of data in transit using TLS/SSL protocols
  • Encryption of sensitive data at rest
  • Regular security assessments and penetration testing
  • Access controls limiting who can access personal data

Do Not Sell or Share My Personal Information

We do not sell your personal information. We do not share your personal information for cross-context behavioural advertising. We do not have actual knowledge that we sell or share the personal information of consumers under 16 years of age.
